The tvguide.com Community website is owned by TV Guide Online, Inc. ("TV Guide") and operated by our third party service providers. To become a member of the Community, so that you may communicate with other Community members, use the Community services (the "Services") and participate in Community activities, you must agree to be bound by the terms of this User Agreement (this "Agreement"). This Agreement sets out the legally binding terms for your use of the Community and the Services. TV Guide may modify this Agreement from time to time and such modification shall be effective upon posting by TV Guide on the website. You agree to be bound by any changes to this Agreement when you use the Community and/or Services after any such modification is posted. Comments by Members are not Endorsed by TV Guide. TV Guide does not necessarily endorse, support, sanction, encourage, verify, or agree with the comments, opinions, or statements posted by members on the Community website. Nor does TV Guide or its third party service providers make any warranties with respect to any member comments, opinions or statements posted on the Community website. Any information or material posted on the Community website by Community members, including advice and opinions, are the views and responsibility of those individuals who post the statements and do not necessarily represent the views of TV Guide or its third party service providers.
Your Membership in the Community. Your membership in the Community is solely for your personal use, and you shall not authorize others to use your account, including your registered profile or email address. You are solely responsible for all Content (as defined below) published or displayed through your member account, including any email messages and postings, and for your interactions with other members of the Community.
Non Commercial Use by Members. The Community is for the personal use of members and may not be used in connection with any commercial activities except those that are specifically endorsed or approved by the management of TV Guide. Illegal and/or unauthorized use of the Community, including collecting usernames and/or email addresses of members by electronic or other means for the purpose of sending unsolicited email or unauthorized linking to the Community will be subject to investigation. Commercial advertisements, affiliate links, and other forms of solicitation posted through a member account may be removed without notice and may result in termination of Community access. Appropriate legal action will be taken by TV Guide for any illegal or unauthorized use of the Community.
Proprietary Rights of TV Guide. TV Guide owns and retains all proprietary rights in the Community, the Services and all Content on the tvguide.com website. The Community, the Services and the tvguide.com website contain copyrighted material, trademarks, and other proprietary information of TV Guide. Except for that information which is in the public domain or for which you have been given written permission by TV Guide, you may not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.
Content Posted on the Community Website. You understand and agree that TV Guide may review and delete any content, postings or messages (collectively, "Content"), that in the sole judgment of TV Guide, violates this Agreement or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any Community member.
You are solely responsible for the Content that you publish, display or post on the Community website or any material or information that you transmit to other Community members.
By posting any Content on the Community website, or engaging in any other form of communication through the Services, you grant TV Guide a royalty-free, perpetual, non-exclusive, unrestricted, worldwide license to use, reproduce, modify, adapt, translate, enhance, transmit, distribute, publicly perform, display, or sublicense any such communication (including your identity and information about you) in any medium (now in existence or hereinafter developed) and for any purpose, including commercial purposes, and to authorize others to do so.
With respect to any Content that you post on the Community website, you represent and warrant that (i) you own the Content, (ii) your Content does not violate the privacy rights, publicity rights, copyright rights, or other intellectual property rights of any person, and (iii) you agree to pay for all royalties and fees owing any person by reason of any Content you post on the Community website.
Community members may not post prohibited Content on the Community website. TV Guide reserves the right to investigate and take appropriate legal action in its sole discretion against anyone who violates this provision, including, but not limited to, removing the offending Content from the Community website, terminating the membership of such violators and/or blocking access to the Community website. Copyright Policy. Jurisdiction. TV Guide makes no representation that the Content on the Community website is appropriate, available or legal in any particular location. Those who choose to access the Community website do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable. You agree that this Agreement, for all purposes, shall be governed and construed in accordance with the laws of the State of New York applicable to contracts to be wholly performed therein, and any action based on or alleging a breach of this Agreement must be brought in a state or federal court in New York, NY. In addition, both parties agree to submit to the exclusive personal jurisdiction and venue of such courts.
Indemnity. You agree to indemnify and hold TV Guide, its subsidiaries, affiliates, officers, agents, and other partners, employees and service providers, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Community website or the Services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above.
Other. This Agreement is accepted upon your use of the Community website and is further affirmed by you registering as a member of the Community. This Agreement constitutes the entire agreement between you and TV Guide regarding your use of the Community website and/or the Services. The failure of TV Guide to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision.
